This End-User License Agreement (the "Agreement") is a legal contract between you (the "User") and bright i-deas, tech, LLC ("Licensor") that governs your use of the QBuddy desktop software (the "Software"). By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
Subject to your continued compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software on workstations under your control, solely for the purpose of preparing and posting accounting transactions to QuickBooks Desktop and/or QuickBooks Online companies that you are authorized to access.

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this Agreement.
The Software integrates with QuickBooks Desktop (via Intuit's QBFC SDK) and QuickBooks Online (via Intuit's REST API). Your use of those services is also governed by Intuit's own terms and policies, which you must accept directly with Intuit when you connect a company. Licensor is not a party to your agreements with Intuit and is not responsible for the availability, accuracy, or behavior of Intuit's services.
"Customer Data" means the bank statements, transaction records, client information, and QuickBooks data that the Software processes at your direction. Customer Data is stored locally on the workstation running the Software and transmitted only (a) to Intuit when posting transactions, (b) to the file-transfer endpoints you configure for your own bookkeeping workflow, and (c) as otherwise described in the Privacy Policy. Licensor does not collect, store, or process Customer Data on Licensor's own infrastructure.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TRANSACTIONS POSTED THROUGH THE SOFTWARE WILL BE WITHOUT ERROR. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ALL TRANSACTIONS BEFORE AND AFTER POSTING.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Licensor from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Software in breach of this Agreement or in violation of any applicable law.
This Agreement remains in effect until terminated. Licensor may terminate this Agreement immediately if you breach any term. Upon termination, you must cease all use of the Software and remove it from any workstation under your control. Sections 3, 5, 6, 7, 8, 10, and 11 survive termination.
This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement will be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.
This Agreement is the entire agreement between you and Licensor with respect to the Software and supersedes any prior agreements. Licensor may update this Agreement from time to time; the version in force is the one published at this URL on the date you install or update the Software.
